1. ACCEPTANCE & SCOPE

By accessing the Memovo Dashboard or publishing a listing on memovo.co.uk, you agree to be bound by these Terms of Service. Memovo provides a technical venue built on Cloudflare infrastructure. We act solely as an intermediary and do not provide care services ourselves.

2. NEUTRAL VENUE & NO REPRESENTATION

2.1 Not a Care Provider: Memovo is not a care agency, medical facility, or referral service. We do not verify the quality, safety, or legality of the listings provided by users. Any arrangement made between a Care Seeker and a Care Provider is an independent contract to which Memovo is not a party.

2.2 User Risk: Users rely on listing data at their own discretion. While we encourage accuracy, Memovo does not warrant that any information on the platform is correct, complete, or up-to-date.

3. LISTING CONTENT & INTELLECTUAL PROPERTY

3.1 License to Display: You retain all intellectual property rights to your business descriptions, logos, and images. However, by uploading content, you grant Memovo a worldwide, royalty-free license to host and display that content on the platform.

3.2 Content Standards: You are strictly prohibited from uploading content that is fraudulent, defamatory, or infringes on third-party copyrights. You are solely responsible for ensuring your listing complies with CQC regulations and UK advertising standards.

3.3 Indemnity: You agree to indemnify and hold Memovo harmless from any legal claims, damages, or costs (including legal fees) arising from the content you publish or your interactions with other users.

4. SUBSCRIPTIONS & STRIPE PAYMENTS

4.1 Payment Processing: All financial transactions are handled via Stripe. By subscribing to a Pro or Elite plan, you authorize Stripe to charge your designated payment method for the recurring fee plus any applicable taxes.

4.2 Trial Abuse: 90-day trials are limited to one per business entity. Memovo reserves the right to terminate accounts and listings that attempt to gain multiple trials through alias emails or duplicate business profiles.

4.3 Non-Refundability: Subscription fees are paid in advance and are non-refundable. Upon cancellation, your listing will remain "Pro" until the conclusion of your current billing period.

5. LIMITATION OF LIABILITY

Memovo provides the platform on an "as-is" basis. To the maximum extent permitted by law, Memovo shall not be liable for any loss of profits, data, or business opportunities resulting from platform downtime or user interactions. Our total liability is capped at the total amount you paid for your subscription in the preceding 12 months.

6. ACCOUNT TERMINATION

We reserve the right to suspend or terminate access to the Dashboard for any user who violates these terms, misrepresents their role during onboarding, or fails to maintain an active subscription for their featured listings.

7. GOVERNING LAW

These terms and any disputes arising from them are governed by the laws of England and Wales. Users agree to the exclusive jurisdiction of the courts of the United Kingdom.
